1. Introduction

These Terms and Conditions ("Terms") govern your use of the Mindie platform ("Mindie", "we", "us", "our"), which connects users with curated restaurants for the ordering and delivery of food and beverages. By accessing or using Mindie’s mobile application or website, you agree to these Terms.

2. Our Role

Mindie acts solely as an intermediary between you (the "User") and the restaurants featured on our platform (the "Partners"). We do not prepare, sell, or deliver food ourselves. All food and beverage items are prepared and sold directly by the Partner, which is solely responsible for their quality, safety, and legal compliance.

3. Orders and Payments

Orders can be placed via the Mindie app or website:

  • All prices include VAT where applicable.
  • Payments are collected by Mindie on behalf of the Partner. You will receive a fiscal receipt issued directly by the Partner using their VAT number.
  • Accepted payment methods are listed on the app and may include credit cards, debit cards, or other digital payment options.

4. Delivery

Delivery is managed either by the Partner restaurant or a third-party courier:

  • Delivery times are indicative and not guaranteed.
  • Mindie is not liable for delays or delivery issues beyond our control.

5. Cancellations and Refunds

Once confirmed, orders cannot be canceled unless the Partner explicitly allows it.

  • Any refund requests due to incorrect or unsatisfactory orders will be evaluated by the Partner. Mindie may assist in communication but does not guarantee reimbursement.

6. User Responsibilities

By using Mindie, you agree to:

  • Provide accurate contact and delivery information.
  • Use the platform in a lawful and respectful manner.
  • Not engage in fraudulent or abusive activity.

7. Restaurant Responsibilities

Partner restaurants agree to:

  • Ensure the quality, hygiene, and legal compliance of all food and beverages sold.
  • Issue fiscal receipts directly to customers.
  • Promote the Mindie app via social media as agreed upon in the commercial partnership terms.

8. Limitation of Liability

Mindie is not responsible for:

  • The preparation, packaging, or delivery of food and beverages.
  • Any harm, illness, or dissatisfaction caused by the Partner’s products or services.
  • Damages, losses, or costs resulting from platform use, except in cases of gross negligence or intentional misconduct.

9. Intellectual Property

All content, branding, logos, and software related to Mindie are protected by intellectual property rights. You may not use or reproduce them without prior written consent.

10. Privacy

Personal data is handled according to our Privacy Policy, in compliance with GDPR and relevant Italian data protection laws.

11. Changes to the Terms

We may update these Terms from time to time. Updates will be published on our platform and take immediate effect. Continued use of the service indicates acceptance of the revised Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Italy. Any disputes shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.
